Medical device giant makes another move in spin-off.

According to recent foreign media reports, Solventum announced plans to spin off its Health Information Systems business as part of its portfolio optimization strategy.

Solventum was spun off from the former 3M healthcare business in 2024, and subsequently announced a massive $120 million restructuring plan in 2025. This spin-off marked the first phase of Solventum's management's business transformation strategy, with the goal of "building consensus and strengthening the foundation," including establishing a new mission of "improving human health with better, smarter, and safer healthcare solutions."

In the second phase, Solventum will focus on strategic in-depth development, with 80% of revenue growth expected to come from five major areas: negative pressure wound therapy, intravenous catheter management, sterilization assurance, basic repair products, and revenue cycle management.

This spin-off is the latest step in Solventum’s three-phase transformation strategy, aimed at maximizing shareholder value and preparing the company and its soon-to-be-separated businesses for long-term success.

Health information systems is a healthcare software business whose solutions have proprietary rules engines, massive data assets, and AI-driven autonomous coding capabilities. It has been deployed in more than 30 countries and is used by more than 75% of hospitals in the United States.

By spinning off its health information systems business, Solventum expects to focus more on its MedSurg and Dental Solutions businesses. The company believes that a more focused portfolio will help it accelerate innovation, improve business execution, and achieve sustainable long-term growth.

Solventum plans to complete the spin-off within 12 to 18 months. Potential structural options include: splitting the business unit into an independent company, merging it with a peer of similar size, or achieving this through other transactions.

Looking back at its past development history, Solventum has a history of spin-offs. Last year, Solventum sold its purification and filtration (P&F) business to Thermo Fisher Scientific, with the proceeds used to help Solventum repay about half of its original debt. Furthermore, the company's board of directors believes that spinning off this business will help transform Solventum into a more focused medical technology company.

According to data from Didi Medical Devices, the company currently has eight products on the market in China, covering a wide range of categories including dental instruments, medical diagnostic and monitoring devices, as well as infusion, nursing and protective devices, but dental instruments account for the majority.
