"/Just now, Fosun Pharma issued an announcement stating that its holding subsidiary, Henlius Biotech, signed a "Cooperation Framework Agreement" with Sandoz AG , which will allow Henlius Biotech to cooperate with Sandoz AG on the registration, commercialization, development, and production of up to 10 monoclonal antibody ( mAb ) and / or antibody-drug conjugate ( ADC ) biosimilar products or ingredients in relevant overseas regions .
The first three collaborative products are HLX05-N , HLX16 , and belimumab biosimilars, with the collaboration scope covering the treatment of all human indications, but limited to indications approved for the original products in the relevant countries / regions of the collaboration area; one potential collaborative product (options have been granted to the collaborators) is HLXTE-HAase1001 .
For the first three collaborative products, Henlius may receive up to US$314 million in upfront payments, development milestones and development budget milestones, and sales milestone payments (subject to the progress of relevant R&D, regulatory approvals and sales) .
Sandoz AG will pay up to US$ 77 million in sales milestone payments based on the first commercialization of the first three collaborative products (among others) in the agreed countries / regions. In addition, unless otherwise agreed, Sandoz AG shall also pay Henlius Biotech a sales commission of 40% of the net sales or net profit (as defined in the agreement) of the relevant products in each country within each collaborative region .
Following the signing of this agreement, Sandoz AG shall also pay Henlius a non-refundable option fee of US$ 8 million for the potential collaborative product (i.e., HLXTE-HAase1001 ). If Sandoz AG exercises the option for the potential collaborative product within the agreed timeframe, the parties shall enter into a separate specific cooperation agreement, including Sandoz's payment of agreed development milestone payments, sales milestone payments, and tiered sales incentives to Henlius for the collaboration.

(a) First batch of cooperative products
1. HLX05-N: HLX05-N is a cetuximab biosimilar independently developed by Fosun Pharma, intended for the treatment of metastatic colorectal cancer and head and neck squamous cell carcinoma. As of the date of this announcement, HLX05-N is in Phase I clinical trials in China for the treatment of metastatic colorectal cancer and has received Phase I clinical trial approval in the United States .
2. HLX16: HLX16 is an evolocumab biosimilar independently developed by Fosun Pharma, intended for the treatment of primary hypercholesterolemia (including heterozygous familial and non-familial types). As of the date of this announcement, this pipeline is still in the preclinical research stage.
3. Belimumab Biosimilar: Fosun Pharma's independently developed belimumab biosimilar is intended for the treatment of systemic lupus erythematosus and lupus nephritis. As of the date of this announcement, this pipeline is still in the preclinical research stage.
(ii) Options Products
HLXTE-HAase1001 is a recombinant human hyaluronidase independently developed by Fosun Pharma. Its development goal is to transform time-consuming intravenous infusion into rapid subcutaneous injection, thereby shortening administration time and improving patient experience. As of the date of this announcement, the product is still in the process development stage.
